1. Acceptance of Terms

By accessing and using Axis MD ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

Axis MD provides an AI-powered machine performance platform for industrial machine monitoring, maintenance management, and performance optimization. The Service includes:

• Real-time machine monitoring and analytics
• AI-powered maintenance recommendations and diagnostics
• Spare parts inventory management
• Calibration testing and analysis
• Tamper-proof records for compliance
• Part program optimization tools

3. User Accounts and Registration

3.1 Account Creation

You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Account Sharing Prohibited

IMPORTANT: Each user account is licensed for use by one individual only.

Sharing login credentials between multiple people is strictly prohibited and constitutes a violation of these Terms of Service. To protect the integrity of our subscription model and ensure fair usage:

• Concurrent Session Limits: Each account is limited to 2-5 active sessions based on your subscription tier (Starter: 2, Professional: 3, Enterprise: 5)
• Automatic Session Management: When you exceed your session limit, your oldest session will be automatically logged out
• Enforcement: We monitor login patterns and may suspend accounts exhibiting signs of credential sharing
• Proper Licensing: If multiple team members need access, you must purchase user seats for each individual through your subscription plan

Violation of this policy may result in immediate suspension or termination of your account without refund.

4. Subscription Plans and Payment

4.1 Subscription Tiers

Axis MD offers three subscription tiers based on machine count: Core (starting at $299/month for 1-5 machines), Pro (starting at $499/month for 1-5 machines with AI diagnostics), and Enterprise (starting at $799/month for 1-5 machines with blockchain compliance). All plans include unlimited users and Axis Intelligence AI. Pricing scales based on machine count, with custom pricing available for 50+ machines. Annual billing is available at a 15% discount.

4.2 Payment Terms

• Subscriptions are billed monthly or annually in advance
• Payment is processed through our third-party payment processor
• You authorize us to charge your payment method for recurring subscription fees
• Annual subscriptions receive a 15% discount off the monthly rate
• Failure to pay may result in suspension or termination of your account

4.3 Cancellation and Refunds

You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period.

30-Day Satisfaction Guarantee

We stand behind the value Axis MD provides. If you are not satisfied with your subscription within the first 30 days of your initial purchase, you may request a full refund subject to the following conditions:

• Feedback Required: To process your refund, you must complete a brief feedback form explaining what did not meet your expectations. This helps us improve the platform for all users.
• First Subscription Only: The 30-day guarantee applies to your first subscription with Axis MD. It does not apply to renewals, plan upgrades, or subsequent subscriptions.
• Request Method: Refund requests must be submitted via email to [email protected] within 30 days of your initial payment date.
• Processing Time: Approved refunds are typically processed within 5-10 business days and will be credited to your original payment method.

After the 30-day guarantee period, we do not provide refunds for partial months, unused subscription time, or annual subscription balances, except as required by law.

5. Acceptable Use Policy

5.1 Prohibited Activities

You agree not to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights of others
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to the Service or other users' accounts
• Use the Service to spam, harass, or harm others
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data from the Service
• Resell or redistribute the Service without written permission

5.2 Fair Use & Rate Limiting

IMPORTANT: AI features are subject to fair use policies and rate limiting to ensure quality service for all users.

While Axis MD subscriptions include generous AI access, we implement reasonable limits to prevent abuse and maintain service quality:

• Hourly Rate Limits: AI requests are limited per hour based on subscription tier. Higher tiers receive proportionally higher limits.
• Burst Protection: Per-minute limits prevent rapid-fire automated requests while allowing normal conversational use
• Daily Fair Use Limits: Daily usage limits protect service availability for all users
• Abuse Detection: We employ automated systems to detect and throttle suspicious usage patterns, including bot-like behavior, API-only access without UI interaction, and coordinated flooding attempts

Enforcement & Suspension Policy

Organizations exceeding limits will receive automated throttling with progressively longer cooldown periods. Continued abuse triggers the following escalation:

• First Violation: Automatic rate throttling for 1 hour
• Repeated Violations: Account throttled to Free tier limits for 24 hours
• Severe/Intentional Abuse: Account suspension pending review, no refund

Normal business use will never encounter these limits. They are designed solely to prevent malicious abuse. Appeals can be submitted to [email protected].

5.3 Automated Access Restrictions

The following activities are strictly prohibited and may result in immediate account suspension without refund:

• Using scripts, bots, or automated tools to make AI requests
• Attempting to circumvent rate limits through multiple accounts or IP addresses
• Reselling or redistributing AI-generated content from the Service
• Using the Service to train competing AI models or services
• Flooding the Service with requests to degrade performance for other users

Axis MD reserves the right to suspend accounts, cancel subscriptions, and pursue legal remedies for violations of these policies. Suspensions for abuse are not eligible for refunds.

6. Intellectual Property & Trade Secrets

6.1 Ownership

The Service and all related content, features, and functionality are owned by Axis MD and are protected by copyright, trademark, trade secret, and other intellectual property laws. The Service contains unpublished trade secrets and confidential business methods that are proprietary to Axis MD.

6.2 User Data Ownership

You retain all ownership rights in the underlying data you submit to the Service. This license is non-exclusive and does not transfer ownership of your data to Axis MD.

6.3 Confidential Information

You acknowledge that the Service, including but not limited to its software, algorithms, user interface designs, system architecture, data processing methods, AI models, and business processes, constitutes Confidential Information of Axis MD. You agree to:

• Not disclose, publish, or otherwise reveal any Confidential Information to third parties
• Not use Confidential Information for any purpose other than using the Service as intended
• Not attempt to derive, analyze, or reverse engineer the methods, algorithms, or processes used by the Service
• Not use insights gained from the Service to build, enhance, or advise on competing products or services

7. Data Rights & AI Training License

IMPORTANT: This section governs how we use your data to improve our AI and services. Please read carefully.

7.1 Data License Grant

By using the Service, Customer grants Axis MD a perpetual, irrevocable, worldwide, royalty-free, non-exclusive license to use, copy, modify, aggregate, and create derivative works of all data uploaded to or generated within the Service (including but not limited to machine telemetry, sensor data, maintenance logs, calibration results, spindle health metrics, part program patterns, and operational outcomes) for the following purposes:

• Training, improving, and benchmarking Axis MD's AI models and algorithms
• Developing new features, products, and services
• Generating anonymized industry benchmarks and insights
• Conducting research and development to advance machine performance technology
• Creating aggregated analytics that may be shared with the broader Axis MD customer community

7.2 Survival of License

Axis MD may retain and continue to use anonymized and aggregated versions of Customer data even after termination or expiration of this agreement. This survival clause is necessary to preserve the integrity of AI models trained on historical data patterns.

7.3 Confidentiality

Axis MD shall treat all Customer data as confidential and shall not disclose non-anonymized or non-aggregated data to third parties except as required to provide the Service or as required by law. Customer organization names, personally identifiable information, and proprietary part program details are never shared in raw form.

7.4 Export Control Compliance (ITAR/EAR)

Data subject to International Traffic in Arms Regulations (ITAR), Export Administration Regulations (EAR), or other export control regulations shall be handled in accordance with applicable law. Customers are responsible for identifying export-controlled data. Axis MD provides compliant data handling options and automatic redaction features for sensitive programs.

7.5 Community Intelligence Participation

The Service includes a "Community Intelligence" feature that allows customers to contribute anonymized operational data in exchange for access to aggregated insights from the broader Axis MD network. Participation is configurable in your account settings. Customers who opt out of sharing may have limited access to community-derived recommendations.

7.6 Hardware Vendor Restrictions

Customer agrees not to grant similar data rights to third-party hardware vendors, software providers, or machine manufacturers that would restrict, limit, or conflict with the rights granted to Axis MD herein. This provision protects the integrity of the AI training pipeline and ensures continued service improvement.

7.7 Your Rights

You retain the right to:

• Export your raw data at any time via the Settings panel
• Request deletion of personally identifiable information (subject to legal retention requirements)
• Configure which data categories are shared with Community Intelligence
• Receive enhanced AI recommendations based on your contributions to the network

8. AI-Generated Content Disclaimer

IMPORTANT: AI recommendations are for informational purposes only.

• AI-generated maintenance recommendations should be reviewed by qualified technicians
• Always follow manufacturer-specific procedures for your equipment
• Consult certified professionals for critical repairs or safety-critical work
• Axis MD is not liable for damages resulting from following AI recommendations
• Users assume all risk when implementing AI-suggested procedures

9. Record Verification

The Service uses distributed ledger technology for tamper-proof record-keeping. Records verified through this system are permanent and cannot be reversed. By using these features, you acknowledge that:

• Data registered on the ledger is publicly viewable (though not personally identifiable)
• Verified records cannot be deleted or modified after creation
• You are responsible for ensuring data accuracy before verification

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Axis MD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising from:

• Your use or inability to use the Service
• Equipment failure or downtime resulting from AI recommendations
• Errors or inaccuracies in AI-generated content
• Third-party services integrated with the platform
• Unauthorized access to your data

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that:

• The Service will be uninterrupted, secure, or error-free
• AI recommendations will be accurate or achieve desired results
• Defects will be corrected
• The Service will meet your specific requirements

12. Indemnification

You agree to indemnify and hold harmless Axis MD, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Violation of these Terms of Service
• Infringement of any third-party rights
• Equipment damage or injury resulting from AI recommendations

13. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms of Service, fraudulent activity, or any other reason at our sole discretion. Upon termination:

• Your right to use the Service immediately ceases
• We may delete your account and data after a reasonable grace period
• You remain liable for any outstanding fees
• Verified records remain on the public ledger (cannot be deleted)

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes via email or through the Service. Continued use of the Service after changes constitute acceptance of the new terms.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to conflict of law principles. Any claim or dispute arising out of or relating to the Service shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and the parties consent to personal jurisdiction and venue in those courts.
